(Montréal, April 23, 2001) CMC Electronics Inc. (formerly BAE SYSTEMS CANADA) has new customers for its high gain Satellite Communications (Satcom) antenna system: China Southern Airlines will operate the top-mounted CMA-2102 antenna on their new Boeing 747-400F aircraft; and China Eastern Airlines have selected the CMA-2102 for their A340-300 fleet. Both airlines indicated that they selected the CMA-2102 because of its high performance and technical superiority.

(Montréal, April 18, 2001) CMC Electronics Inc. has recently won a contract to supply its latest-generation radio to Cogent Defence Systems (a Nortel Networks company). Under the terms of the contract, the CMC Electronics High-Capacity Line-of-Sight (HCLOS) radio will be integrated in Cogent’s innovative Theater Wide Area Communications Network solution for the U.K. armed forces' CORMORANT Project. The project will provide the U.K.'s armed forces with the capability to deliver joint force communications in rapid reaction situations such as the recent evacuation of British civilians from Sierra Leone and in peace-keeping operations such as in Kosovo.

(TSE, AMEX: BAE) and ONCAP L.P. announced today that an investor group led by ONCAP L.P. has successfully completed the acquisition of 100% of the common shares of BAE SYSTEMS CANADA INC, in accordance with a Plan of Arrangement that was approved by BAE SYSTEMS CANADA shareholders at a special meeting held on April 3, 2001.

(Montréal, April 3, 2001) BAE SYSTEMS CANADA INC. (TSE, AMEX: BAE) announces that at a special meeting held earlier today, shareholders approved the proposed plan of arrangement involving the Corporation and affiliates of ONCAP L.P., which was announced on February 2, 2001. Pursuant to the plan of arrangement, the details of which were described in a proxy circular mailed to shareholders on March 1, 2001, an investor group led by ONCAP L.P. will acquire all of the outstanding common shares of BAE SYSTEMS CANADA INC. at a price of $25.25 per share.

(Montréal, March 28, 2001) BAE SYSTEMS CANADA (TSE, AMEX: BAE) (formerly Canadian Marconi Company) has been selected by Hong Kong Dragon Airlines Limited to supply the CMA-900 Flight Management System (FMS) for its B747-300 fleet. The Global Positioning System (GPS)-based CMA-900 will be installed initially on two B747-300 aircraft to provide GPS-based navigation and oceanic and remote area operations capability.

(Montréal, February 20, 2001) BAE SYSTEMS CANADA INC. (TSE, AMEX: BAE) has received additional purchase orders valued at $18 million for the supply of its latest-generation tactical radio to the Government of the Republic of Korea. Deliveries are scheduled from late 2001 to early 2002.

(Montréal, February 2, 2001) BAE SYSTEMS CANADA INC. (TSE, AMEX:BAE) and ONCAP L.P. today announced the signing of an agreement under which ONCAP will acquire all of the outstanding shares of BAE SYSTEMS CANADA at a price of $25.25 per share in cash for an aggregate purchase price of approximately $594 million. BAE SYSTEMS p.l.c., the majority shareholder of BAE SYSTEMS CANADA with approximately 54% of the outstanding common shares, has agreed to irrevocably support the transaction. In addition, BAE SYSTEMS p.l.c. has agreed, if the transaction is not completed, to sell to ONCAP, at ONCAP's option, shares of BAE SYSTEMS CANADA representing approximately 49% of the outstanding shares for $25.25.

(Montréal, January 23, 2001) BAE SYSTEMS CANADA INC. (TSE, AMEX: BAE) has won a major navigation upgrade program for Saudi Arabian Airlines (SVA). The contract involves the retrofit of SVA’s fleet of 12 Classic B747-200/300 and -SP aircraft. The program is scheduled to begin immediately, with a first installation scheduled for April 2001.

(Montréal, January 17, 2001) BAE SYSTEMS CANADA INC. (TSE, AMEX: BAE) has signed a multi-year agreement to supply its latest-generation Global Positioning System (GPS) receivers to Honeywell International. Under the terms of the agreement, the receivers will be integrated in Honeywell's Local Area Augmentation System (LAAS) as the GPS reference receiver, and in several of Honeywell's aircraft navigation and landing products. The agreement has a potential sales value in excess of CAN$50 million.
