(Montréal, April 23, 2001) CMC Electronics Inc. (formerly BAE SYSTEMS CANADA) has new customers for its high gain Satellite Communications (Satcom) antenna system: China Southern Airlines will operate the top-mounted CMA-2102 antenna on their new Boeing 747-400F aircraft; and China Eastern Airlines have selected the CMA-2102 for their A340-300 fleet. Both airlines indicated that they selected the CMA-2102 because of its high performance and technical superiority.

(Montréal, April 18, 2001) CMC Electronics Inc. has recently won a contract to supply its latest-generation radio to Cogent Defence Systems (a Nortel Networks company). Under the terms of the contract, the CMC Electronics High-Capacity Line-of-Sight (HCLOS) radio will be integrated in Cogent’s innovative Theater Wide Area Communications Network solution for the U.K. armed forces' CORMORANT Project. The project will provide the U.K.'s armed forces with the capability to deliver joint force communications in rapid reaction situations such as the recent evacuation of British civilians from Sierra Leone and in peace-keeping operations such as in Kosovo.

(TSE, AMEX:BAE) and ONCAP L.P. today announced the signing of an agreement under which ONCAP will acquire all of the outstanding shares of BAE SYSTEMS CANADA at a price of $25.25 per share in cash for an aggregate purchase price of approximately $594 million. BAE SYSTEMS p.l.c., the majority shareholder of BAE SYSTEMS CANADA with approximately 54% of the outstanding common shares, has agreed to irrevocably support the transaction. In addition, BAE SYSTEMS p.l.c. has agreed, if the transaction is not completed, to sell to ONCAP, at ONCAP's option, shares of BAE SYSTEMS CANADA representing approximately 49% of the outstanding shares for $25.25.

(TSE, AMEX: BAE) has signed a multi-year agreement to supply its latest-generation Global Positioning System (GPS) receivers to Honeywell International. Under the terms of the agreement, the receivers will be integrated in Honeywell's Local Area Augmentation System (LAAS) as the GPS reference receiver, and in several of Honeywell's aircraft navigation and landing products. The agreement has a potential sales value in excess of CAN$50 million.
