Terms and Conditions of Use
The following Terms and Conditions of Use govern your use of CMC Electronics Inc.’s (hereinafter “CMC”) database in the Met/Track software. Please read the following carefully because by clicking “I agree”, you are agreeing to abide by these Terms and Conditions of Use.
1. License
You are granted a limited, revocable, nonexclusive, nonsublicensable, nontransferable right and license to access remotely and use CMC’s database in the Met/Track software, and/or such other systems, information and materials that CMC may make available to you by issuing an access code and password (CMC’s database in the Met/Track software and/or such other systems, information and materials being hereinafter referred to as the “System”). Use of this System is restricted to authorized users. Unauthorized, illegal or improper use may result in disciplinary action and civil or criminal prosecution. Notwithstanding anything in this Agreement to the contrary, all use of the System shall be strictly in accordance with CMC policies and applicable laws. You shall, at all times, limit your use of the System to access information regarding your employer’s instruments only and shall not use the System to access (or attempt to access) third party information.
2. Ownership
The System is licensed, not sold. The System (including, without limitation, its layout, interfaces, functionality and incorporated images, text and other media) is the sole and exclusive property of CMC and its licensors and is protected by domestic and international copyright and other intellectual property laws.
3. Access to services
In order to permit you to access the System, CMC will provide you with one or more access code(s) and password(s) through your employer, for your sole use. You shall not divulge or disclose any access code or password to any person. You may not use any access code or password should your employment with your current employer be terminated for any reason.
4. Confidentiality
You shall treat all information and materials obtained on or through the System as proprietary and confidential to CMC, and shall not disclose or distribute such information to any third party. Upon written request by CMC, you shall return to CMC, or destroy, all information and materials obtained on or through the System.
5. Verification
You acknowledge that CMC may monitor your activities on the System at CMC’s discretion, in accordance with applicable laws, and you consent to such monitoring. In addition, upon notice from CMC, you shall provide CMC with such information, access, and assistance as they may reasonably require.
6. Disclaimer
The System and access thereto are provided “as is” without any warranty of any kind, and your use of the services is solely at your own risk. CMC does not warrant that the System or access thereto will meet your requirements or that the operation will be uninterrupted or error-free. CMC does not warrant that the information contained in the System is accurate or error-free.
7. Limitation of liability
In no event shall CMC be liable for any damages, whether direct, indirect, special, consequential, punitive, exemplary or otherwise, including loss of revenues, income, profits or savings, arising out of or relating to the System or access (or lack of access) thereto.
